Hipi Shop Terms of Use and Sale

Hipi Shop is a third party marketplace provided via the Hipi mobile application (“Hipi platform”), allowing you to access, browse, make a purchase on and otherwise use Hipi Shop, and providing features and services in connection with the foregoing, along with any other services we may provide from time to time (collectively, "Hipi Shop Services").

PLEASE READ THE TERMS CAREFULLY BEFORE THE USE OF THE HIPI SHOP SERVICE. THESE TERMS CONSTITUTE A LEGAL AND BINDING AGREEMENT BETWEEN YOU (THE USER OF THE HIPI SHOP SERVICE) AND ZEE ENTERTAINMENT ENTERPRISES LIMITED (ZEEL) (THE OWNER OF HIPI PLATFORM AND HIPI SHOP) AND GOVERN YOUR USE OF THE HIPI SHOP SERVICE. ZEE ENTERTAINMENT ENTERPRISES LIMITED SHALL MEAN AND INCLUDE HIPI/HIPI PLATFORM/HIPI SHOP.

For the purpose of these Hipi Shop Terms of Use and Sale, the terms “You/you”, “Your/your” and “User/user” shall mean any person, natural or legal who uses or browses Hipi Shop. The term “We/we”, “Us/us”, “Our/our” shall mean Zeel.

Your use of Hipi Shop is governed by:1. Hipi Shop is a part of the “Hipi platform” as mentioned in the Hipi Terms of Service and Hipi Shop is offered subject to the Hipi Terms of Service ; and2. These Terms of Use and Sale ("Hipi Shop Terms of Use and Sale"), to be read in consonance with the Hipi Shop Privacy Policy which apply in addition to the Hipi Terms of Service.

These Hipi Shop Terms of Use and Sale are split into two sections:

Section A: Hipi Shop Terms of Use. The Hipi Shop Terms of Use apply to anyone who accesses, browses, makes a purchase on or otherwise uses Hipi Shop. This is a contract between you and Hipi; and

Section B: Hipi Shop Terms of Sale. The Hipi Shop Terms of Sale apply (in addition to the Hipi Shop Terms of Use) with respect to any purchases of products/goods ("Products") made by you ("Buyers") from third party sellers listed on Hipi Shop ("Sellers"). This is a contract between Buyers and the relevant Seller.

By using Hipi Shop (or clicking “Buy Now” or otherwise placing an order), you agree that (1) you can are eligible to enter into a legally binding contract with Hipi, that you accept the Hipi Shop Terms of Use and that you will comply with them; and (2) you can form a legally binding contract with the relevant Sellers, that you accept the Hipi Shop Terms of Sale with the relevant Sellers, and that you will comply with them.

The Hipi Shop Terms of Use will continue in force until they are terminated by either you or Hipi in accordance with their termination provisions.

In the event of any conflict between these Hipi Shop Terms of Use and Sale and the Hipi Terms of Service , for the purposes of your use of or access to Hipi Shop, Zeel shall be the final authority to decide upon any such inconsistency basis its sole discretion.

Any capitalised terms not defined in these Hipi Shop Terms of Use and Sale but defined in the Hipi Terms of Service have the meaning given to them in the Hipi Terms of Service .

SECTION A: HIPI SHOP TERMS OF USE

1. Information about you and your privacy

Your privacy is important to us. Please read the Hipi Terms of Service and the Hipi Terms of Service to understand how we collect, use and share information about you. Please also read our Cookie Policy as mentioned in the Hipi Terms of Service to understand how we use cookies on the Hipi Shop.

2.About Hipi Shop2.1.Who can use Hipi Shop?

Hipi Shop is only for people 18 years old and over. By using Hipi Shop, you confirm that you are over the required minimum age. If we learn that someone under the required minimum age specified above is using Hipi Shop, the user will not be able to purchase Products on Hipi Shop.

If you are over the required minimum age, and have a valid account with the Hipi Hipi platform (“Account”), you can use such Account to avail services offered on Hipi Shop.

2.2.Where is Hipi Shop available?

Unless otherwise specified, the Products on the Hipi Shop is presented solely for the purpose of sale in India. We make no representation that Products on the Hipi Shop are appropriate or available for use in other locations/Countries other than India. Those who choose to access Hipi Shop from other locations/Countries other than India do so on their own initiative and we are not responsible for supply of Products/refund for the Products ordered from other locations/Countries other than India, compliance with local laws, if and to the extent local laws are applicable

Further, we may use technical measures to restrict your access to Hipi Shop and you agree not to circumvent such technical measures. If you have any questions about the jurisdictions where Hipi Shop is available or your access to Hipi Shop, please contact us at contact@hipi.co.in.

3.Hipi as Marketplace for Transaction and Communication:

We do not warrant that Product, its description or other content on Hipi Shop is accurate, complete, reliable, current, or error-free and assumes no liability in this regard. Further, we shall not be a party to or control in any manner any transaction between the Buyers and Seller . Henceforward:

•All commercial/contractual terms are offered by and agreed to between Buyers and Sellers alone. The commercial/contractual terms include without limitation price, shipping costs, payment methods, payment terms, date, period and mode of delivery, warranties related to Products and services and after sales services related to Products and services. We do not have any control or does not determine or advise or in any way involve itself in the offering or acceptance of such commercial/contractual terms between the Buyers and Sellers. •We do not make any representation or warranty as to specifics (such as quality, value, saleability, etc) of the products or services proposed to be sold or offered to be sold or purchased on Hipi Shop.•You understand and agree that we are not responsible for any non-performance or breach of any contract entered into between Buyers and Sellers as that is a bilateral arrangement between you and the Sellers.•At no time shall Hipi hold any right, title or interest over the Products nor shall it have any obligations or liabilities in respect of such transaction entered into between Buyers and Sellers. HiPi is merely a platform that facilitates buying and selling of Products which is a bipartite transaction between you and the Seller.•Hipi Shop is only a platform for communication, and it is agreed that the contract for sale of any of the products or services shall be a strictly bipartite contract between the Sellers and the Buyer. At no time shall Hipi hold any right, title or interest over the products nor shall it have any obligations or liabilities in respect of such transaction. Hipi shall not be responsible for unsatisfactory or delayed performance of services or damages or delays as a result of products which are out of stock, unavailable or back ordered.•Pricing on any product(s) as is reflected on the Hipi Shop may due to some technical issue, typographical error or product information published by Seller may be incorrectly reflected and in such an event Seller may cancel such order(s).•You release and indemnify ZEEL and/or any of its officers and representatives including from Hipi Shop, from any cost, damage, liability or other consequence of any of the actions and specifically waive any claims that you may have in this behalf under any applicable law. Further, we cannot take responsibility or control the information provided by other users which is made available on Hipi platform.

You agree, understand and acknowledge that Hipi Shop is only an online platform that enables you to purchase products listed on Hipi Shop at the price indicated therein at any time. You further agree and acknowledge that Hipi is only a facilitator and is not and cannot be a party to or control in any manner any transactions on Hipi Shop.

4.How to use Hipi Shop

You can use your Account to make a Purchase on Hipi Shop. However, you will be asked to provide certain information (“Onboarding Information”) to Hipi prior to your first Purchase on Hipi Shop. We will use your Onboarding Information to assess whether or not you will be authorised to use Hipi Shop to make a Purchase. It is a serious breach of these Hipi Shop Terms of Use if you do not provide and maintain at all times, complete, accurate and up to date Onboarding Information.

5.Payment

Except for any cash on delivery order’s wherein payment will be collected by the delivery/logistics partner engaged by ZEEL all Products purchased on Hipi Shop must be paid for through a payment provider as facilitated by ZEEL on Hipi Shop using a valid payment method.

The payment provider is separate to ZEEL, and you will be subject to their terms when making payments to Sellers. Hipi Shop does not provide you with any payment services and is not responsible for your payments to Sellers.

While availing any of the payment method/s available on Hipi Shop, we will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to You due to:

1.Lack of authorization for any transaction/s, or2.Exceeding the preset limit mutually agreed by You and between 'Bank/s', or3.Any payment issues arising out of the transaction, or4.Decline of transaction for any other reason/s

All payments made against the purchases/services on Hipi Shop by you shall be compulsorily in Indian National Rupees acceptable in the Republic of India. We will not facilitate transaction with respect to any other form of currency with respect to the purchases made on Hipi Shop.

Before shipping / delivering your order to you, Sellers may request you to provide supporting documents (including but not limited to Govt. issued ID and address proof) to establish the ownership of the payment instrument used by you for your purchase or for fulfilment of the order placed by you.

6.Customs and Tax Policy

When any tax is chargeable on the supply, the price listed on Hipi Shop will be inclusive of such applicable taxes, including but not limited to goods and services taxes(GST), sales and service taxes, as well as customs duty and any other applicable import taxes (or, where it is not possible to provide the exact amount of such taxes or duties, you will be told that additional charges may be payable and the manner in which the price is to be calculated).

7.Rules for using Hipi Shop

To use the Hipi Shop, you must follow the rules set out in these Hipi Shop Terms of Use, the rules set out in the Hipi Shop Terms of Sale, the rules set out in the Hipi Terms of Service , Hipi Shop Privacy Policy, all applicable laws and regulations, and any rules, guidance or policies that we publish or update from time to time. You must not use Hipi Shop in any way which is prohibited in any of the terms or guidelines above.

Acceptable Uses

In addition to the rules set out in the Hipi Terms of Service , you must not use Hipi Shop or the Hipi platform for any of the following purposes or do any of the following acts:

•Using Hipi Shop if you are not able to form a contract which is legally binding (e.g. you are under the age in the applicable jurisdiction to form a legally binding contract for a Purchase);•Failing to pay for your Purchase unless you have legitimate grounds for such failure;•Using Hipi Shop in a manner that is fraudulent, unconscionable, false, misleading or deceptive;•Any act or omission which is against any applicable law;•Any act which infringes the rights of any third party under applicable law;•Purchasing or seeking to purchase any Products that are prohibited or restricted;•Circumventing any technical measures (e.g., geo-blocking measures) applied by us in providing Hipi Shop or the Hipi platform or creating multiple HiPi accounts for availing services on HiPi platform;•Sending spam or unsolicited marketing;•Posting false, inaccurate, misleading, deceptive, offensive, illegal, defamatory, or libellous content (including as part of a review of a Product); or•Using Hipi Shop in a manner that may create a conflict of interest for you or us that undermines the purposes of Hipi Shop, such as trading reviews with other users or writing or soliciting shill reviews.8.Reviews

Hipi Shop may let you post reviews about Products that you have purchased from Sellers on Hipi Shop at its discretion.

You must not post a review about a Product that you have not purchased from a Sellers on Hipi Shop, including where you have purchased it elsewhere.

By accepting these Hipi Shop Terms of Use you, when posting a review: (a) promise to us that you own or otherwise control all of the rights in the content of the review; (b) promise to us that the content of your review is accurate, is not misleading and reflects your genuinely held belief in respect of the relevant Product; and (c) grant us a non-exclusive, world-wide, royalty-free, sub-licensable, transferable licence to reproduce, publish and translate the content of your review (including the name that you submit with it) on Hipi Shop.

We may remove reviews where they are in breach of the above requirements or any other requirements in these Hipi Shop Terms of Use or Hipi Terms of Service

9.Intellectual Property

Hipi takes the intellectual property rights of others very seriously.

We respect intellectual property rights and ask you to do the same. As a condition of your access to and use of Hipi Shop, you agree not to infringe intellectual property rights of any person while using Hipi Shop.

As between you and Hipi Shop, all content, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music on and “look and feel” of the Hipi Shop Services, Hipi Shop and all intellectual property rights related thereto (the “Hipi Shop Content”), are either owned or licensed by Hipi, it being understood that you or your licensors will own any User Content (as defined in Clause 10 below) you upload or transmit through the Hipi Shop Services. Use by you of the Hipi Shop Content or other materials available as part of the Hipi Shop Services for any purpose not expressly permitted by these Hipi Shop Terms of Use is strictly prohibited. Such content and materials may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed or otherwise exploited for any purpose whatsoever without our or, where applicable, our licensors’ prior express written consent. We and our licensors reserve absolutely and unconditionally all rights arising out of or in connection with the Hipi Shop Services and the Hipi Shop Content not expressly granted in and to such content and materials.

Subject to these Hipi Shop Terms of Use, you are hereby granted a non-exclusive, limited, non-transferable, non-sublicensable, revocable, worldwide licence to access and use Hipi Shop and the Hipi Shop Content, including to download the Hipi platform on a permitted device, and to access Hipi Shop solely for your personal, non-commercial use and solely in compliance with these Hipi Shop Terms of Use. Hipi reserves absolutely and unconditionally all rights not expressly granted herein in Hipi Shop. You acknowledge and agree that upon any termination of your account or these Hipi Shop Terms of Use, this licence granted to you in respect of Hipi Shop and the Hipi Shop Content will automatically terminate.

We make no representations, warranties or guarantees, whether express or implied, that any content on Hipi Shop (including Hipi Shop Content) is accurate, complete or up to date. Where Hipi Shop contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no visibility or control over the contents on or available through those sites or resources and you acknowledge and agree that we have no liability for any such content. Such links should not be interpreted as approval by us of those linked websites or information you may obtain on or through them.

10.Licences by You

Hipi Shop is a part of the "Hipi platform" as provided under Hipi Terms of Service and therefore any content you post to or through Hipi Shop ("User Content") is subject to the provisions of the Hipi Terms of Service . This means that, if you post any User Content on Hipi Shop, you must have all the rights necessary to do so and you grant a non-exclusive, worldwide, royalty-free, sub-licensable, transferable licence for Hipi to use the User Content for the duration of these Hipi Shop Terms of Use. The foregoing does not impact any right you may have to have data deleted under applicable law.

11.Your promises to us

By accepting these Hipi Shop Terms of Use you promise to Hipi that:

•All information provided by you to us is accurate, complete and will be kept current;•You will keep your Account access details confidential and acknowledge that you are responsible for Purchases made under your Account;•You have the authority and rights to enter into these Hipi Shop Terms of Use and perform your obligations under these Hipi Shop Terms of Use; and•You will comply with these Hipi Shop Terms of Use and any guidance or policies that we publish or update from time to time.12.What happens if you breach these Hipi Shop Terms of Use?

If we know or reasonably suspect that you are in material or persistent breach of these Terms of Use we may temporarily or permanently suspend or terminate your Account or impose limits on or restrict your access to Hipi Shop, or other parts or all of the Hipi services, in accordance with the Hipi Terms of Service .

13.Effects of and Rights on Termination

We may suspend or terminate your use of Hipi Shop if we believe, in our sole and absolute discretion that you have infringed, breached, violated, abused, or unethically manipulated or exploited any term of these Terms of Use and Sale or anyway otherwise acted unethically. Returns/Refund for such users shall be at the sole discretion of Hipi. Notwithstanding anything in this clause, these Terms of Use and Sale will survive indefinitely unless and until we chooses to terminate them.

•If You or we terminate your use of the Hipi Shop or any service, we may delete any content or other materials relating to your use of the service and we will have no liability to you or any third party for doing so. However, your transactions details may be preserved by ZEEL for purposes of tax or regulatory compliance.•If You use any false e-mail address or use the portal for any unlawful and fraudulent purposes, which may cause annoyance and inconvenience and abuses any policy and rules of the ZEEL or mislead ZEEL by sharing multiple address and phone numbers or transacting with malafide intentions then ZEEL reserves the right to refuse access to the Hipi Shop, terminate accounts including any linked accounts without notice to you.

You may decide to terminate your Account and to end your contractual relationship with Hipi with respect to the Hipi Shop Terms of Use and your access to the Hipi Shop Services at any time by deleting your Account.

The following Clauses of these Hipi Shop Terms of Use shall survive termination: 10 (Licences by You); 13 (Effects of and Rights on Termination); 14 A (Indemnity); 14 B (Liability) 15 (Dispute Resolution); 16 (Governing Law and Jurisdiction) and 17 (Miscellaneous Terms).

14.A.Indemnity:

You shall indemnify and hold harmless ZEEL, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys’ fees, made by any third party including Sellers or penalty imposed due to or arising out of Your access to or breach of this Terms of Use and Sale, Privacy Policy and other Policies, or Your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.

14.B.. Disclaimer of Warranties & Limitation of Liability:

You acknowledge and undertake that you are accessing the services on HiPi Shop and transacting at your own risk and are using your best and prudent judgment before entering into any transactions with the Seller through HiPi platform. We shall neither be liable nor responsible for any actions or inactions of Sellers nor any breach of conditions, representations or warranties by the Sellers or manufacturers of the products and hereby expressly disclaim and any all responsibility and liability in that regard. We shall not mediate or resolve any dispute or disagreement between You and the sellers or manufacturers of the products. We further expressly disclaim any warranties or representations (express or implied) in respect of quality, suitability, accuracy, reliability, completeness, timeliness, performance, safety, Sellers ability, fitness for a particular purpose, or legality of the products listed or displayed or transacted or the content (including product or pricing information and/or specifications) on HiPi Shop . While we have taken precautions to avoid inaccuracies in content, this website, all content, information (including the price of products), software, products, services and related graphics are provided as is, without warranty of any kind. At no time shall any right, title or interest in the products sold through or displayed on HiPi Shop be construed to vest with Hipi nor shall Hipi have any obligations or liabilities in respect of any transactions on Hipi Shop.

We shall not be liable to you, whether in connection with these Hipi Shop Terms of Use or our provision (or your receipt) of Hipi Shop and/or the Hipi Shop Services, for: (i) any loss of profit (ii) any loss of goodwill; (iii) any loss of opportunity; (iv) any loss of business; (v) any business interruption; (vi) any loss of business reputation; or (vii) any indirect or consequential loss.

Hipi's total aggregate liability whether in contract, tort (including negligence), under any statute or otherwise under or in connection with these Hipi Shop Terms of Use or our provision (or your receipt) of Hipi Shop and/or the Hipi Shop Services will be limited to INR 1000. We shall not be liable for any dispute or disagreement between Buyers & Sellers.

•We shall not be liable for any liability, loss, expense (including legal fees), cost, claim or damages which may be incurred by you or any other person arising out of or in connection with: (i) any content or information submitted by users (or Sellers) and published on Hipi Shop; (ii) any acts or omissions of Sellers; (iii) any reliance placed by you on the completeness, accuracy or existence of any advertising or Product listing; (iv) any relationship or transaction between you and any Sellers, advertiser or sponsor whose Products or advertising appears on Hipi Shop ); (v) your failure to provide us with accurate account information; (vi) your failure to keep your password or account details secure and confidential (vii)the use or the inability to use the services or Products; (vii) unauthorized access to or alteration of the user’s transmissions or data ; (ix) breach of condition, representations or warranties by the manufacturer of the Products or Sellers ; (x) any other matter relating to the services including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the Hipi Shop. We shall not be held responsible for non-availability of the Hipi Shop during periodic maintenance operations or any unplanned suspension of access to Hipi Shop. User understands and agrees that any material and/or data downloaded while using Hipi Shop is done entirely at users own discretion and risk and they will be solely responsible for any damage to their mobile or loss of data that results from the download of such material and/or data. 15.Dispute Resolution15.1.Disputes Between you and Sellers (or between you, Sellers and third parties)

You and each Seller that you choose to purchase from are responsible for resolving any dispute that may arise between you. Hipi shall not be a party to any such dispute and has no obligation to do so. Hipi shall not mediate or resolve any dispute or disagreement between You and the Sellers or manufacturers of the products.

15.2.Disputes Between you and Hipi

If you have a complaint or dispute with us relating to the Hipi Shop, in the first instance please contact us at contact@hipi.co.in and attempt to resolve the dispute with us informally. In the event we are unable to resolve the dispute informally, the dispute will be resolved pursuant to Clause 16 (Governing Law and Jurisdiction).

16.Governing Law and Jurisdiction

These Hipi Shop Terms of Use are governed by the governing law of the Hipi Terms of Service applicable to you, and any dispute or claim including non-contractual disputes or claims arising out of or in connection with it or their subject matter or formation shall be resolved in accordance with the dispute resolution terms in the Hipi Terms of Service applicable to you.

17.Miscellaneous Terms17.1.Relationship Between the Parties

Nothing in these Hipi Shop Terms of Use shall create any partnership, joint venture, franchise, agency or sales representative relationship between you and Hipi or any Hipi affiliate.

17.2.Third Party Rights

Unless it expressly states otherwise, these Hipi Shop Terms of Use do not give rise to any rights to any third party rights (including those provided for under applicable laws). No other person shall have any rights to enforce any of the terms in these Hipi Shop Terms of Use and neither of us will need to get the agreement of any other person in order to end or make any changes to these Hipi Shop Terms of Use.

17.3.Changes to these Hipi Shop Terms of Use

We reserves the right to modify these Terms of Use and Sale at any time, with retrospective effect without any prior notice. When You use any of the services through Hipi Shop, including but not limited to, (e.g. Product Reviews, Sellers Reviews), You will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service, and they shall be deemed to be incorporated into this Terms of Use and Sale and shall be considered as part and parcel of this Terms of Use and Sale. You shall ensure to review these Terms of Use and Sale periodically for updates/changes. Your continued use of the Hipi Shop following the posting of changes will mean that You accept and agree to the revisions. If you are a Buyer and purchase a Product, the Purchase will be subject to the Hipi Shop Terms of Sale in force at the time of Purchase.

If you do not agree to the new Hipi Shop Terms of Use, you must stop accessing or using the Hipi Shop.

17.4.Notice

We may provide notices to you under these Hipi Shop Terms of Use by way of such as sending you an email to the email address provided by you in your Account, through in-app message or chat, or by a notice on Hipi Shop.

You may provide notices to Hipi under these Hipi Shop Terms of Use by email to contact@hipi.co.in.

17.5.No Waiver

Our failure to insist upon or enforce any provision of these Hipi Shop Terms of Use (or to exercise any other right or remedy under these Hipi Shop Terms of Use) shall not be construed as a waiver of any provision or right under these Hipi Shop Terms of Use nor shall it prevent or restrict the further exercise of that or any other right or remedy.

17.6.Security

You are responsible for configuring your information technology, computer programs and platform to access Hipi Shop. You should use your own virus protection software.

17.7.Severability

If any court of law, having jurisdiction to decide on this matter, rules that any provision of these Hipi Shop Terms of Use is invalid, illegal or unenforceable then that provision shall be removed from the Hipi Shop Terms of Use without affecting the rest of the Hipi Shop Terms of Use, and the remaining provisions of the Hipi Shop Terms of Use will continue to be valid and enforceable, provided that the essential provisions of these Hipi Shop Terms of Use remain in effect.

17.8.Events outside of our control

Hipi will not be liable for any delay or failure to perform any of its obligations under these Hipi Shop Terms of Use for reasons, events or other matters beyond its reasonable control.

17.9.Transferring these Terms

We may transfer these Hipi Shop Terms of Use, our rights or obligations to anyone else without any prior notice to you. You hereby consent to the transfer by us in advance to any third party whatever the nature of such transfer, in particular whether it happens through an assignment, merger, absorption, split, partial contribution of capital, transfer of all of our assets and liabilities. This transfer will enter into force at the time when we notify you thereof. You hereby agree that the transfer of these Hipi Shop Terms of Use to a third party will result in waiving your rights against us for the future.

SECTION B: HIPI SHOP TERMS OF SALE

Hipi Shop allows buyers (“Buyers”) to purchase products (“Products”) from third party sellers (“Sellers”). Hipi Shop operates as a third party marketplace for Sellers, acts as a platform that facilitates the bipartite transaction between the Sellers and Buyers. Hipi does not itself sell Products on Hipi Shop, nor is it party to any contract for the sale of Products to Buyers.

Set out below are the terms and conditions (“Hipi Shop Terms of Sale”) that govern the sale of Products by Sellers to you as a Buyer. Please read these Hipi Shop Terms of Sale carefully before placing an order for a Product from a Sellers on Hipi Shop.

Once you have a legally binding contract between you and the Sellers (as described in Clause 2 below), these Hipi Shop Terms of Sale (together with any Enhanced Terms, as described in Clause 3 below) will become a legally binding Sales Contract (as described in Clause 2.3 below) between You and the Sellers. The Hipi Shop Terms of Sale are an agreement between Sellers and Buyers; Hipi is not a party to the Hipi Shop Terms of Sale.

The Sellers that you will be purchasing a Product from via Hipi Shop will be identified on the ‘product detail page’ of the relevant Product (“Product Detail Page”). All references to “Sellers” in these Hipi Shop Terms of Sale mean the Sellers that you will be purchasing a Product from on Hipi Shop.

Any capitalised terms used but not defined in these Hipi Shop Terms of Sale are defined and have the meaning given to them in the Hipi Shop Terms of Use.

1. Products1.1. Product information is provided by the relevant Sellers on the Product Detail Page. You should review the information of the Products which you intend to purchase before placing an order on Hipi Shop.1.2. Sellers are responsible for making sure that any Product is fit for purpose and corresponds with the description it provides on the Product Detail Page, and they are responsible for complying with any refund, replacement or cancellation rights that you have under these Hipi Shop Terms of Sale (including any Enhanced Terms (as defined in Clause 3)).2. Contract for Sale2.1. You may place an order for a Product by clicking ‘Buy Now'. Your order will be subject to these Hipi Shop Terms of Sale (including any Enhanced Terms (as defined in Clause 3)).2.2. If your order is successful, you will then receive an order acknowledgment message via Hipi Shop which contains details of your order.2.3. The order acknowledgement is confirmation that your order has been received and that a legally binding contract between you and the Sellers has been formed based on the Hipi Shop Terms of Sale (including any Enhanced Terms) (“Sales Contract”).2.4. You must comply with your obligations under these Hipi Shop Terms of Sale (including any Enhanced Terms).3. Enhanced Terms3.1. These Hipi Shop Terms of Sale set out your basic rights in respect of the purchase of a Product from a Sellers. The Sellers may, however, choose to offer certain improved rights of cancellation, return and refund (“Enhanced Terms”).3.2. If a Sellers offers Enhanced Terms, these will be detailed on the Product Detail Page of the relevant Product and will be deemed to apply to the Hipi Shop Terms of Sale instead of the equivalent terms set out below.3.3. In the event of any conflict between the Enhanced Terms and the rest of the Terms of Use and Sale (including these Hipi Shop Terms of Sale), we will be the final authority to decide upon any such inconsistency basis our sole discretion.4. Purchases4.1. If you have a right to return a Purchase or a cancellation will be as per the rules defined by the Sellers on the product page .4.2. The logistics for arranging a return of a Product and any associated fees will be as you agree with the Sellers.5. Sellers’s right to cancel5.1. The Sellers may cancel your order (and, if relevant, require the return of any Products provided to you and the Sellers will refund any amounts paid if):• You do not comply with your obligations under these Hipi Shop Terms of Sale;• You do not make any payment when it is due;• The price listed was materially incorrect; or• You do not, within a reasonable time of asking, provide the Sellers with information that is necessary for it to provide the Products (for example your delivery address),or for any other valid reason.6. Product Ownership and Changes to Products 6.1. A Product will be your responsibility from the time the Sellers delivers the Product to the address you gave the Sellers for delivery. You own a Product once the Sellers has received payment in full for it.6.2. Although the Sellers makes every effort to display the colours accurately, it cannot guarantee that a device's display of the colours accurately reflects the colour of the Products. Your Product may vary slightly from those images.6.3. If the Sellers is making the Product to measurements or specifications you have given it, you are responsible for ensuring that these measurements and specifications are correct.7. Purchase Price, Delivery Costs and Tax7.1. The purchase price for a Product will be as set out on the Product Detail Page.7.2. Sellers may offer one or more delivery options. The price for each delivery option will be as set out on the Product Detail Page.7.3. All purchase prices and delivery costs are inclusive of taxes.8. Delivery8.1. The delivery time will vary depending on the delivery options offered by the Sellers, as set out on the Product Detail Page. Your order will be fulfilled by the delivery date set out in the order acknowledgement message.8.2. If, after a failed delivery to you, you do not re-arrange delivery or collect them from a delivery depot the Sellers is required to contact you for further instructions and may charge you for storage costs and any further delivery costs. If, despite its reasonable efforts, the Sellers is unable to contact you or re-arrange delivery or collection it may cancel your order.9. Information About You and Your Privacy

Please note that Sellers are independent controllers of the data that they collect about your via Hipi Shop, and Hipi is not responsible for their compliance with applicable law.

10. Disputes Between you and the Sellers10.1. You and each Sellers that you choose to purchase from are responsible for resolving any dispute that may arise between you and the Sellers. Hipi shall not be a party to any such dispute and has no obligation to do so. Hipi shall not mediate or resolve any dispute or disagreement between You and the Sellers or sellers or manufacturers of the products.10.2. If you have a complaint relating to a Product, you should contact the Sellers. 11. Governing Law and Jurisdiction

These Hipi Shop Terms of Sale are governed by the governing law of the Hipi Terms of Service applicable to you, and any dispute or claim including non-contractual disputes or claims arising out of or in connection with it or their subject matter or formation shall be resolved in accordance with the dispute resolution terms in the Hipi Terms of Service applicable to you.

12. Miscellaneous Terms12.1. Relationship Between the Parties: Nothing in these Hipi Shop Terms of Sale shall create any partnership, joint venture, franchise, agency or sales representative relationship between you and the Sellers.12.1. Third Party Rights: Unless expressly stated otherwise, these Hipi Shop Terms of Sale do not give rise to any rights to any third party rights, no other person shall have any rights to enforce any of the terms in these Hipi Shop Terms of Sale and neither you nor the Sellers will need to get the agreement of any other person in order to end the Hipi Shop Terms of Sale or make any changes to the Hipi Shop Terms of Sale.Order cancellation, return, and shipping policy for Hipi Shop are available here.
